Please read these Terms of Service ("Terms," "Agreement") carefully before using the Vailorio website (the "Site") or purchasing any products through it. These Terms constitute a legally binding agreement between you ("you," "user," or "customer") and Vailorio, operated by Yiwu Aixue Clothing Co., Ltd. ("Vailorio," "we," "us," or "our"). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Site.

1. Eligibility

By using this Site, you represent that you are at least 18 years of age, or are accessing the Site under the supervision of a parent or legal guardian, and that you have the legal capacity to enter into a binding agreement. If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Use of the Site

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, non-commercial use, subject to your compliance with these Terms. You agree not to:

3. Products, Pricing & Order Acceptance

We make every effort to display product information, including descriptions, images, and pricing, as accurately as possible. However, we do not warrant that product descriptions, pricing, or other content on the Site is entirely accurate, complete, or error-free.

  • Pricing: All prices are listed in U.S. dollars and are subject to change without notice. Applicable sales tax will be calculated and added at checkout based on your shipping address.
  • Order Acceptance: Your receipt of an order confirmation does not constitute our acceptance of your order, nor does it constitute confirmation of our offer to sell. Vailorio reserves the right, at any time after receipt of your order, to accept or decline your order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraudulent activity.
  • Order Errors: In the event a product is listed at an incorrect price or with incorrect information due to a typographical, technical, or pricing error, we reserve the right to cancel any orders placed for that product, whether or not the order has been confirmed and payment collected. If your payment has already been charged and your order is cancelled, we will issue a full refund.

4. Shipping & Returns

All orders are subject to our Shipping Policy and Return & Refund Policy, which are incorporated into these Terms by reference. By placing an order, you agree to the shipping timelines, delivery coverage, and return conditions described in those policies. We encourage you to review both policies before completing your purchase.

5. Intellectual Property Rights

All content on this Site, including but not limited to text, graphics, logos, product images, icons, button designs, page headers, product descriptions, and the overall look and feel of the Site (collectively, the "Content"), is the property of Yiwu Aixue Clothing Co., Ltd. and is protected by applicable copyright, trademark, and other intellectual property laws. The "Vailorio" name and logo are trademarks of Yiwu Aixue Clothing Co., Ltd.

No Content may be reproduced, republished, distributed, publicly displayed, modified, or exploited in any manner, in whole or in part, without our prior written permission. Any unauthorized use of the Content may violate copyright, trademark, and other applicable laws and could result in civil and criminal penalties.

6. User-Generated Content

If you submit reviews, comments, photos, or other content to the Site (collectively, "User Content"), you grant Vailorio a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, adapt, publish, and display such User Content for any purpose, including marketing and promotional purposes, without compensation to you.

You represent and warrant that any User Content you submit is your own original work, does not infringe on the rights of any third party, and does not contain unlawful, defamatory, obscene, or otherwise objectionable material. We reserve the right, but are not obligated, to monitor, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

7. Accounts

If you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Vailorio is not liable for any loss or damage arising from your failure to protect your account information.

8. Account Termination

We reserve the right, in our sole discretion, to suspend or terminate your account and access to the Site, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or is otherwise unlawful. You may also terminate your account at any time by contacting us at service@vailorio.com. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

9. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS, CONTENT, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VAILORIO, YIWU AIXUE CLOTHING CO., LTD., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY PRODUCTS PURCHASED THROUGH IT, REGARDLESS OF THE LEGAL THEORY ON WHICH SUCH DAMAGES ARE BASED.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE TOTAL AMOUNT YOU PAID TO VAILORIO FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Vailorio, Yiwu Aixue Clothing Co., Ltd., and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

12. Force Majeure

Vailorio shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, labor disputes, shortages of supplies, transportation delays, carrier disruptions, pandemics, war, terrorism, riots, government action, or internet or telecommunications disruptions.

13. Dispute Resolution & Arbitration

Please read this section carefully, as it affects your legal rights.

Agreement to Arbitrate: Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site, or your purchase of any products, shall be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court. This includes disputes based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

Arbitration Procedure: The arbitration shall be administered in accordance with the rules of a recognized arbitration organization applicable to consumer disputes, and shall take place in the state of California, or another mutually agreed location, or may be conducted remotely where permitted.

Class Action Waiver: You and Vailorio agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the fullest extent permitted by law, no arbitration or proceeding shall be joined with any other, and there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to service@vailorio.com within 30 days of first accepting these Terms, stating your name and a clear intent to opt out of arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles, to the extent such disputes are not subject to arbitration as described above.

15. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

16. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and Vailorio regarding your use of the Site and supersede any prior agreements between you and us.

17. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Site following the posting of any changes constitutes your acceptance of those changes. We encourage you to review these Terms periodically.
